Terms of Service

By accessing this website and using the services of ERP Control, S.A. (Official Odoo Partner), you agree to be bound by the following Terms and Conditions. Please read them carefully before hiring our consulting, implementation, development or support services.

1. Description of Services

ERP Control provides consulting, implementation, custom module development, data migration and ongoing technical support services for the Odoo software ecosystem. Specific details, deliverables, timelines and Service Level Agreements (SLA) will be defined in a separate contract or commercial proposal, which will prevail over these general terms in case of conflict.

2. Intellectual Property

The Odoo base software is governed by its respective open-source or Enterprise licenses issued by Odoo S.A. Any custom code, module or configuration developed by ERP Control specifically for the client will become the client's property once the corresponding fees have been paid in full, unless otherwise specified in the commercial proposal.

3. Client Obligations

To ensure the success of the implementation or support, the client agrees to:

• Provide timely access to the required information, servers or legacy databases.
• Appoint an internal "Key User" or project lead with decision-making authority.
• Take an active part in the validation phases and User Acceptance Testing (UAT).

4. Limitation of Liability

To the maximum extent permitted by applicable law, ERP Control, S.A. shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, use or other intangible losses resulting from business interruption during the software migration or implementation phases, except in proven cases of gross negligence.

5. Jurisdiction and Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Panama. Any dispute or claim arising out of or relating to these terms that cannot be settled amicably between the parties shall be subject to the exclusive jurisdiction of the competent courts of Panama City.
